Job Description Summary

Dauch is seeking a detail-oriented Assistant General Counsel to join our legal team at a publicly traded company. This role focuses on technical execution and compliance, supporting corporate governance, SEC reporting, and securities law compliance. This is a hybrid role located at our World Headquarters in Detroit, MI.

Job Description:

  • Prepares and reviews SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 reports.
  • Ensures compliance with federal securities laws, stock exchange rules, and internal disclosure controls.
  • Provides legal support for finance transactions, including credit agreements and debt offerings.
  • Drafts, reviews, and negotiates corporate and commercial agreements.
  • Monitors regulatory developments and assists in implementing compliance updates.
  • Supports corporate governance and subsidiary management.
  • Collaborates with internal teams to maintain strong SOX compliance and disclosure controls.
  • All other duties as assigned.

Required Skills and Education

  • J.D. Degree from an accredited law school; admission to practice in Michigan.
  • 3-5+ years of relevant experience, preferably with a mix of law firm and in-house roles.
  • Strong knowledge of public company reporting, securities regulations, and corporate governance.
  • Excellent drafting and organizational skills with attention to detail.
  • Ability to manage multiple priorities and meet deadlines.
  • Strong analytical skills and ability to work collaboratively with cross-functional teams.
